First, check that your memory card isnt locked...
I guess you are trying to format from your PC? if it wont let you format from within windows, there is a way of formatting the card from within dos. As I am not near my own PC at the moment, I cant tell you exactly how, but if your PC is able to use USB devices from within dos (go into the setup menu by holding down the del key when your computer starts up, and look to see if possible), you should be able to do it. also search on this site for issues such as "format memory card" to see if there is any help there, you can also go though a search engine (Yahoo!, or google) and search for something like "format memory card through dos"
