my computer will not shut down and if i go to task manager it shows rindll32 and it goes to like a dos mode i have windows me

that was easy maybe by accident you or somebody delete something important and that why the message rindll32, but you can repair that get a registry repair and that is going to b more than enuff run the windows update and verify the updates and ready.
